OUR OBJECTIVES

Corporate sector in India is governed by a number of legislations, regulations, policies, laws and byelaws enforced by various Governments, Semi Government and independent authorities and it becomes an arduous task for them to comply with all the laws and regulations applicable to them. A substantial effort and time of most management is devoted towards compliances of these laws and controlling the departments engaged in these functions like accounts, audit, secretarial, compliance, administration, labour laws, etc. Our objective is to provide integrated outsourcing solutions and help corporate sector in complying with various provisions of law at a comparatively lower cost and simultaneously relieving them from the worries of maintaining all these departments and letting them concentrate at their core businesses.

Mr. Raj K. Sehgal, B.Sc. (Ind Chem.), FCS, LLB.

Mr. Raj K. Sehgal is a Bachelor of Science (Industrial Chemistry), a Fellow Member of the Institute of Company Secretaries of India and holds a degree in Law. Mr. Sehgal has over twenty two years of corporate experience in the areas of Corporate Laws, Labour Laws, Accounts, Taxation, Mergers, amalgamations and acquisitions, Joint Ventures, Foreign Exchange Matters, Dealing with Stock Exchanges, Securities and Exchange Board of India, Reserve Bank of India, etc. He has extensive experience in diagnosing and providing solutions to reputed National and Multinational corporates in the areas of legal and financial matters. He has considerable experience in identifying potential joint venture partners and providing support in negotiations. He has been actively involved in appraisals and post evaluation.  He also has experience in capital markets in the fields of equity research, portfolio management and debt markets. At RKS & Associates Mr. Sehgal heads the team looking after corporate laws compliances, mergers, takeovers, Joint Ventures and corporate restructuring.

Ms. Nikita Shukla, B.Com, ACS, LLB

Ms. Nikita Shukla is a Commerce Graduate, Associate Member of the Institute of Company Secretaries of India (ICSI) and also hold a degree of LLB from Rajasthan University. Ms. Nikita has an enriched experience of about 7 years in the field of corporate laws and Compliance. Her core expertise lies in the field of Company Secretarial matters, RBI Regulations, Corporate Governance advisory matters and due diligence. She is actively advising various NBFCs and Startups for their day-to-day Compliance needs. She is overseeing and developing firm’s corporate and startup practice across sectors, specializing in Angel Investments, Seed Funding, Venture Capital, Corporate Structuring, Data Privacy, and Fintech in India and the startups offering focuses on early-stage funding and advice to startups including managing and dealing with all the regulatory compliances.

Mr. Himanshu Wason, B.Com, ACS, LLB

Mr. Himanshu Wason, is a member of the Institute of Company Secretaries of India and also a law graduate. Having experience in diagnosing and providing solutions to the corporates in the areas of corporate legal and financial matters. He is also assisting in legal compliance division of the firm.

SECRETARIAL AND COMPLIANCE SERVICES

Companies Act Compliance and Corporate Governance

The Firm provides all the necessary services to its existing and prospective clients to facilitate formation of companies and LLPs in India.

Whether a private company, a public company, a producer company, a company to be registered under section 8, wholly owned companies (100% subsidiaries of Foreign Company), joint venture companies, limited liability partnership etc., registration of trust and societies. The Firm has a service reach to help form any of these. Going beyond company formation, the Firm also can facilitate setting up of Branch / Project / Liaison offices under the Foreign Exchange Management Act in case of international clients.

Inspection of Document Files at the office of Registrar of Companies and preparation of Search/ Status reports.

Our financial services include preparation of detailed project reports on project identification, project appraisal and project finance including workings of cash flows and identification of collaborators, Selection of location for the project and advising on various incentives available, Selection of land, search of titles, and getting required approvals for carrying out industrial/commercial activities on such land and advising on expansion and modernization.

General Accounting and Bookkeeping Services


The service involves preparing and maintaining day-to-day bookkeeping and providing timely management information reports. These books are prepared as per Indian Accounting Standards or as per US GAAP accounting standards or as per specific client’s requirements.

Preparation of Final Accounts

The service involves preparation of annual accounts and schedules of the Company ready for the statutory annual audit.

Payroll Services

The service involves preparation of salaries of employees on monthly or weekly basis including commissions, incentives and bonus payments, and monitoring and reimbursing staff expense accounts.

Investment in India

We provide advisory services on setting up subsidiaries and Branch Offices in India by a foreign Company or foreign direct investment in an Indian Company. Our services include RBI compliances on foreign remittances and obtaining FIPB and RBI approvals wherever they are necessary.
